Revised End User License Agreement (EULA)

1. LICENSE GRANT

 

Project Aidra, LLC (“Project Aidra,” “we,” “us,” or “our”) grants you, the end user (“User” or “you”), a limited, non-exclusive, non-transferable, revocable license to access and use the Project Aidra platform and its services, solely for the User’s internal business purposes. The term of the license is defined at time of purchase and will automatically renew at the end of each term.  Typically this is an Annual license valid for 12 months from the month of purchase, unless otherwise contracted. The scope of this license is further defined by the specific tier or plan purchased by the User. Each tier or plan provides access to certain features, usage limits, and functionalities as detailed on Project Aidra’s website or in the applicable purchase agreement. Upgrading to a higher-tier plan grants access to additional features and increased usage allowances. Downgrading to a lower-tier plan may result in the loss of access to certain features or a reduction in usage limits, effective at the end of the current billing cycle. Continued use of features beyond the limitations of the downgraded plan may result in additional charges or termination of the license. Each seat license granted is for the sole use of a single, designated individual. Sharing login credentials or allowing unlicensed individuals to access or use the Project Aidra platform through a licensed account is strictly prohibited.

Project Aidra, may at their discretion and without notice, change, update, eliminate, or otherwise modify the features listed here.  

 


*Tier 1: Basic**

*   **Features:**

    *   Standard report generation

    *   Limited video storage

    *   10 reports per month

    *   Basic user dashboard (Report list, review, and count)

    *   Limited AI model usage hours per month (Reports within 24 Hours)

    *   Email support

    *   1 Seat License

    *   Limited Video length submittal

    *   Single Video Upload

    *   Audio Input Assist ( Audio Insights ) 

 

**Tier 2: Advanced**

*   **Features:** Includes all Basic Features and:

    *   Increased video storage

    *   Limited report customization (e.g., branding)

    *   Multiple Video uploads 

    *   25 reports per month

    *   User dashboard 

    *  Real time processing 

    *   Email and chat support

    *   APPA Scores

    *   AI based Cost Estimation

    *   5 Seat Licenses

    *   Team Admin Panel

 

**Tier 3: Premium**

*   **Features:** Includes all Advanced Features and:

    *   Unlimited video storage

    *   Advanced report customization (e.g., branding, sections)

    *   Unlimited reports

    *   Report Sharing

    *   Enhanced user dashboard with analytics

    *   Dedicated account manager

    *   API access for integration with other systems

    *   Early access to new features (Beta releases) 

    *   Asset Identity Capture

    *   Premium support (Phone, Email, Chatbot)

    *   10 Seat Licenses

 

Tier 4: Custom Enterprise

*   **Features:** Includes all Premium Features and:

    *   Tailored solutions to meet specific business requirements

    *   Whitelable Report customizations

    *   Dedicated infrastructure and support

    *   Bespoke integrations and features

    *   Custom Seat Licenses

    *   Contact for details and pricing.

 

2. RESTRICTIONS

 You agree not to:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code, underlying ideas, or algorithms of the Project Aidra AI models or software.
  • Store or transmit any illegal, harmful, or infringing data through the platform.
  • Fail to report any illegal activity or unauthorized access to Project Aidra.
  • Modify, adapt, or create derivative works based on the Project Aidra platform or its content.
  • Use the platform in any way that violates applicable laws or regulations.
  • Not to facilitate or enable unlicensed users to access or use Project Aidra’s services through your licensed account.

 

3. TERMINATION

 

This license may be terminated by Project Aidra if you violate any of the terms of this EULA, the Terms of Service projectaidra.net/TOS  

Upon termination, you must:

  • Cease all use of the Project Aidra platform.
  • Delete or return any copies of Project Aidra’s software or data in your possession.

Project Aidra may delete data associated with your account as per the Privacy Policy projectaidra.net/Privacy .

 Account Termination:

  • Project Aidra reserves the right to suspend or terminate accounts at our discretion, including but not limited to:
    • Violation of these TOS or our Acceptable Use Policy.
    • Unauthorized access, security breaches, or fraudulent activity.
    • Non-payment of subscription fees.
  • Notice Period: Unless termination is due to severe violations (e.g., illegal activity), Project Aidra will provide a 30 day notice before terminating an account. This notice will be sent to the email address associated with the account.
  • Appeals Process: Users who believe their account was terminated in error may appeal the decision by contacting reports@projectaidra.net within 7 days of the termination notice. The appeal should clearly state the reasons for disputing the termination. Project Aidra will review the appeal and respond within 10 business days.
  • Effects of Termination:
    • Upon termination, User access to Project Aidra’s services will be revoked immediately.
    • All outstanding fees will become immediately due and payable.
    • Subscription fees will not be refunded, except as provided in Section 4 or if the termination is due to Project Aidra permanently discontinuing services.
    • Project Aidra may, at its discretion and as required by law, retain user data for a period of time according to our Privacy Policy. After this period, data may be securely deleted.
    • Violation of the usage restrictions, including but not limited to sharing login credentials or allowing unlicensed individuals to use a licensed account, may result in immediate suspension or termination of your account.

 

4. INTELLECTUAL PROPERTY

 

All intellectual property rights related to the Project Aidra platform, including but not limited to software, AI models, algorithms, trademarks, and content, remain the exclusive property of Project Aidra, LLC. Nothing in this EULA grants you any rights to Project Aidra’s intellectual property except for the limited license stated herein.

All technology, software, AI models, prompts, methods of retrieval,  branding, and content associated with Project Aidra are the exclusive property of Project Aidra, LLC.

Users may not:

  • Claim ownership over any AI-generated reports or insights beyond the permitted usage.
  • Modify, reproduce, or redistribute Project Aidra’s intellectual property without express written consent.
  • Use Project Aidra’s, their partners, service providers or other trademarks, branding, or copyrighted materials without written approval.
  • Attempt to, or succeed in, infecting, disrupting, tampering, or otherwise interfering with Project Aidra’s systems or software.
  • Unauthorized use may result in termination of license, legal action, or both. .

 

5. DISCLAIMER OF WARRANTIES

 

The Project Aidra platform is provided “as is” and “as available,” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Project Aidra does not warrant that the platform will be error-free, uninterrupted, or secure.

 

 

6. LIMITATION OF LIABILITY

 

To the maximum extent permitted by law, in no event shall Project Aidra be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Project Aidra platform. Project Aidra’s total liability for any claim arising under this EULA shall be limited to the amount paid by you for the services in the 12 months preceding the claim. See also the Limitation of Liability clauses in the TOS. 

 

7. ACCEPTABLE USE

Your use of the Project Aidra platform is subject to the Acceptable Use Policy, which includes restrictions on license sharing and unauthorized access.

8. REFUNDS

Refund policies are governed by the Terms of Service. 

 

9. GOVERNING LAW

This EULA shall be governed by the laws of the State of Georgia, USA. Any disputes arising from or related to this EULA shall be resolved through binding arbitration in Atlanta, Georgia.

 

10. ENTIRE AGREEMENT

This EULA, along with the Terms of Service and the Acceptable Use Policy, constitutes the entire agreement between you and Project Aidra, LLC, regarding the use of the platform, and supersedes all prior agreements and understandings, whether written or oral.

 

11. SEVERABILITY

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
