Terms of Service (TOS)

1. ACCEPTANCE OF TERMS
By using Project Aidra’s services, the user (“User,” “you,” or “your”) confirms that:
- The User is at least 18 years old and legally capable of entering into this binding agreement. If the User is acting on behalf of an entity, they represent and warrant that they have the authority to bind that entity.
- The User understands and agrees to be bound by these Terms of Service (“TOS”) and Project Aidra’s Privacy Policy, available at https://projectaidra.net/privacy.
- The User is using the Services in compliance with all applicable international, federal, state, and local laws and regulations.
2. SERVICES PROVIDED
Project Aidra, LLC (“Project Aidra,” “we,” “us,” or “our”) provides an AI-powered property inspection and assessment platform, including:
- Automated Video & Image Analysis: AI analysis of property conditions based on uploaded media.
- Property Condition Reports: AI-generated assessments of maintenance needs and compliance risks.
- Maintenance and Compliance Recommendations: Actionable insights for property upkeep.
- General Location Cost Estimation: AI-powered cost projections based on inspection data.
- APPA Scoring Estimation: AI-assisted Facility Condition Index (FCI) & APPA level assessments.
We reserve the right to update, modify, enhance, or discontinue any services or features at our sole discretion, with or without notice.
3. USER ACCOUNTS & RESPONSIBILITIES
- Registration:
- Users must provide accurate, current, and complete registration information.
- Users must not create multiple accounts for deceptive or fraudulent purposes.
- Account Security:
- Users are solely responsible for maintaining the confidentiality of their account credentials.
- Users must immediately notify Project Aidra at reports@projectaidra.net of any unauthorized access or suspected security breaches.
- Account Termination:
- Project Aidra reserves the right to suspend or terminate accounts at our discretion, including but not limited to:
- Violation of these TOS or our Acceptable Use Policy projectaidra.net/privacy .
- Unauthorized access, security breaches, or fraudulent or illegal activity.
- Non-payment of subscription fees.
- Notice Period: Unless termination is due to severe violations (e.g., illegal activity), Project Aidra will provide a [60] day(s) notice before terminating an account. This notice will be sent to the email address associated with the account.
- Appeals Process: Users who believe their account was terminated in error may appeal the decision by contacting reports@projectaidra.net within [15] days of the termination notice. The appeal should clearly state the reasons for disputing the termination. Project Aidra will review the appeal and respond within [30] business days.
- Effects of Termination:
- Upon termination, User access to Project Aidra’s services will be revoked immediately.
- All outstanding fees will become immediately due and payable.
- Subscription fees will not be refunded, except as provided in Section 4
- Project Aidra may, at its discretion and as required by law, retain user data for a period of time according to our Privacy Policy. After this period, data may be securely deleted.
- Usage Restrictions:
- Licensed accounts are intended for use solely by the registered user. Sharing login credentials or allowing unlicensed individuals to submit content through a licensed account is strictly prohibited.
- Project Aidra reserves the right to monitor account usage and may suspend or terminate accounts suspected of violating these usage restrictions.
- Limits on data uploads, analysis requests, and report generation per account may be implemented and enforced to ensure fair usage. These limits will be detailed in the subscription plan information on projectaidra.net.
4. SUBSCRIPTION & PAYMENT TERMS
- Subscription Plans:
- Access to certain services requires a paid subscription.
- Plan details, billing cycles, and fees are available at projectaidra.net
- Payment Processing:
- Users must provide valid and authorized payment information.
- By providing payment details, Users authorize Project Aidra to charge their account per the chosen billing cycle.
- Payment Processing is done by 3rd party services. Project Aidra is not liable for any errors caused by 3rd party processing .
- Billing & Renewals:
- Subscriptions auto-renew unless canceled before the next billing cycle.
- Fees are non-refundable, except as required by law or explicitly stated in these TOS or if services are permanently discontinued (at our discretion), in which case, a prorated refund may be provided.
- Project Aidra reserves the right to adjust pricing with reasonable prior notice. Continued use after notice constitutes acceptance of the revised pricing.
- Late or Failed Payments:
- If a payment fails, account access may be suspended until the outstanding balance is resolved.
- Unpaid balances may be referred to a collection agency after repeated attempts to collect.
5. ACCEPTABLE USE POLICY
Users must comply with the Acceptable Use Policy [link to unified document] and agree not to:
- Use the platform for fraudulent, illegal, or unethical purposes.
- Upload false, misleading, or unlawful content.
- Reverse-engineer, decompile, or tamper with Project Aidra’s AI models or software.
- Interfere with platform security, disrupt operations, or bypass access controls.
- Transmit any malicious code, viruses, or harmful data.
- Facilitating or enabling unlicensed users to access or use Project Aidra’s services through a licensed account.
Violations may result in account suspension, termination, legal action, or reporting to law enforcement.
6. INTELLECTUAL PROPERTY RIGHTS
All technology, software, AI models, prompts, methods of retrieval, branding, and content associated with Project Aidra are the exclusive property of Project Aidra, LLC.
Users may not:
- Claim ownership over any AI-generated reports or insights beyond the permitted usage.
- Modify, reproduce, or redistribute Project Aidra’s intellectual property without express written consent.
- Use Project Aidra’s, their partners, service providers or other trademarks, branding, or copyrighted materials without written approval.
- Attempt to, or succeed in, infecting, disrupting, tampering, or otherwise interfering with Project Aidra’s systems or software.
- Unauthorized use may result in termination of license, legal action, or both. .
7. SERVICE AVAILABILITY & UPDATES
- Service Availability:
- Project Aidra strives for 99% uptime but does not guarantee uninterrupted service.
- Outages may occur due to maintenance, security updates, technical failures, or factors beyond our control.
- Updates & Modifications:
- Project Aidra may modify, enhance, or discontinue features or services at any time.
- Users will be notified of significant changes where applicable.
If services are permanently discontinued, Project Aidra may offer prorated refunds at its discretion.
- Force Majeure:
- Project Aidra shall not be liable for any failure or delay in performance of its obligations under these Terms of Service if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of
- God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials
- In the event of such delay, Project Aidra’s performance will be excused for the period of the delay.
8. LIABILITY & DISCLAIMERS
- Accuracy Disclaimer:
- AI-generated reports and assessments do not guarantee 100% accuracy.
- Project Aidra’s services may rely on data and information provided by third-party providers. While we strive to ensure the accuracy and reliability of these sources, Project Aidra does not independently verify all third-party data and cannot guarantee its accuracy.
- Users assume responsibility for verifying and interpreting reports before making decisions.
- Limitation of Liability:
- Project Aidra is not liable for financial, legal, operational, or incidental damages arising from platform use.
- Our total liability is limited to the amount paid by the user in the 12 months prior to a claim.
9. TERMINATION & ACCOUNT SUSPENSION
Project Aidra may terminate or suspend a User’s account for:
- Violation of these TOS or misuse of the platform.
- Failure to pay for a required subscription.
- Engagement in fraudulent or harmful activity.
- Violation of usage restrictions, including but not limited to allowing unlicensed individuals to use a licensed account.
Upon termination:
- User access is revoked immediately.
- Subscription fees will not be refunded, except as provided in Section 4.
Users may close their account at any time by contacting reports@projectaidra.net.
10. GOVERNING LAW & DISPUTE RESOLUTION
These TOS shall be governed by the laws of the State of Georgia, USA. Any disputes arising from or related to these TOS shall be resolved through binding arbitration in Atlanta, Georgia.
11. CHANGES TO TERMS
Project Aidra reserves the right to update or modify these TOS at any time. Users will be notified of any material changes. Continued use of the platform after such changes constitutes acceptance of the updated terms.

13. ENTIRE AGREEMENT
These TOS, along with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between the User and Project Aidra, LLC, and supersede any prior agreements or understandings.
14. SEVERABILITY
If any provision of these TOS is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Project Aidra, LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’
fees) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms of Service; (c) your violation of any third-party right, including without limitation any intellectual property right or privacy right; or (d) any claim that your content caused damage to a third party. This indemnification obligation will survive the termination of these Terms of Service and your use of the Services.”
16. USE OF CLIENT DATA
Consent to Use:
- By using Project Aidra’s services, the User grants Project Aidra, LLC a non-exclusive, worldwide, royalty-free license to use the User’s company name, logo, and general, non-confidential data related to the use of our services (e.g., aggregated statistics, general use cases) for marketing, promotional, and case study purposes. This includes, but is not limited to, use on our website, marketing materials, presentations, and social media.
- Confidential Information:
- Project Aidra will not disclose any specific, confidential, or proprietary data of the User without explicit written consent. Any data used will be anonymized or aggregated to the extent reasonably possible to avoid disclosing sensitive information.
- Opt-Out Provision:
- The User has the right to opt out of allowing Project Aidra to use their company name, logo, or general data for marketing purposes. To opt out, the User must send a written request to reports@projectaidra.net stating their intent to opt out of such usage. Upon receiving the opt-out request, Project Aidra will cease using the User’s information in future marketing materials within a reasonable timeframe.
- Revocation of Consent:
- The User may revoke this consent at any time by following the opt-out procedure described above. However, the revocation will not affect any marketing materials that were already published or distributed before the opt-out request was received and processed.
